Nevada Registered Agent for Out-of-State Businesses

If your business is formed in another state but does business in Nevada, you're considered a "foreign" entity in Nevada — and you'll need to register here through a process called foreign qualification. A required step in that process is naming a Nevada registered agent.

What "Foreign" Actually Means

In legal language, "foreign" doesn't mean international — it just means out-of-state. An LLC formed in Delaware that opens an office in Nevada is a "foreign LLC" from Nevada's perspective. The same applies to corporations and other entity types.

NRS 86.544 requires a foreign LLC to register with the Secretary of State before transacting business in Nevada. NRS 86.5483 lists thirteen activities that don't count, among them catalog and mail orders accepted outside Nevada and shipped in, bank or credit union accounts, sales through independent contractors, isolated transactions completed within 30 days, film production, and interstate commerce. The list isn't exhaustive, and keeping an office in Nevada pulls you in regardless.

What a Nevada Registered Agent Does for a Foreign Entity

Your Nevada registered agent is the legal point of contact for your foreign entity in Nevada. The agent:

• Receives service of process if your business is sued in Nevada
• Resides or is located in Nevada at a physical street address; a P.O. box can only be a mailing address
• Must keep that address staffed during normal business hours unless it's the agent's home
• Must register with the Secretary of State as a commercial registered agent once it serves 10 or more entities

Nevada takes unregistered activity seriously. A foreign LLC that willfully skips registration faces a court-imposed fine of $1,000 to $10,000, and doing business without a state business license adds a $100 penalty for each year missed. Until it registers, the company also can't start or continue a lawsuit in a Nevada court, though its contracts hold and a defense remains available to it.

How to Foreign-Qualify in Nevada

The general process for registering an out-of-state entity in Nevada:

1. Skip the certificate. Nevada doesn't want a good standing certificate attached. You simply check a box declaring your LLC is in good standing where it was formed.

2. Designate a Nevada registered agent. You can use a commercial registered agent service or appoint an individual who lives in Nevada.

3. File the registration with the initial list and business license ($425). The $75 foreign registration goes in on the formation form along with the $150 initial list of managers or members and the $200 state business license, $425 in total. Foreign registrations go in by mail or in person; online ORION filing is for Nevada LLC articles and for lists. If your name is taken, you can register under a different Nevada name.

4. Renew for $350 every year. By the end of your anniversary month, submit the $150 annual list together with the $200 business license renewal. Late fees are $75 and $100, and a company that defaults can lose its right to transact business in Nevada.
